You see, I have heard Mr Adjei on various media asking that Gov't should deduct from the amount the Court is asking ISOFOTONE to refund, and pay to ISOFOTONE THE AMOUNT THE COMPANY SPENT ON SOME INITIAL WORK DONE.
The question is : Why did the company make a claim far above what it knew to be the correct amount it deserves? Unless they tell me that some interests were levied on their actual amount, I would conclude that they purposed to defraud the state, and that is stealing.

If a contract was granted and it did not go through proper channels but the work was done and the parites did not sue us for judgment debt, while it is not correct, we dont care. What we care is people like you and your company who did nothing but take advantage of a corrupt administration to collect monies not worked for. How could you ask for $1.3 million you never worked for? Now you are talking about money your company incurred should be deducted from the $400,000 now received. The question is, if Ghana can even receive money back from the $400,000 we paid, why did you ask for $1.3 million in the first place? You are a thief, you have been busted..pay the money and move on with your life. The Supreme Court should have mandated all of you be arrested right now and held till you post bond equal to the amount you owe the country until full payment is effectuated. The real crooks are not even the ministers but the Presidents who just look on whilst their ministers engineer all kinds of shady deals to defraud the country. We should prosecute the presidents. At least those still alive because let's face it, when the whole country became aware of what was going on, the presidents did not stop the payments from going ahead.

We refer to your letter of 28th March 2007 in respect of the above referenced subject.
As requested, please find below our comments for your consideration and further action:
BACKGROUND
The Ministry of Finance and Economic Planning (MOFEP) on behalf of Government of Ghana (GoG) signed a Financial Protocol (Appendix 1) with the Government of Spain on 6th June 2005 in Madrid, Spain as part o the economic and technical cooperation between the two countries. Under the Protocol, the Spanish Government agreed to provide concessionary credit of €65 million to GOG for a two year period for the development of social economic projects in Ghana. This credit would be sourced from the Spanish Development Aid Fund (FAD).
The Protocol is, therefore, a bilateral agreement between the two Governments with terms and procedures to be adhered to in its implementation.
Cabinet and Parliament gave approvals to the Protocol on 10th June and 1st August 2005 respectively. Copies of this approvals are attached as Appendix 2 and 3.
APPROVAL OF PROJECTS/COMPANIES TO UNDERTAKE PROJECTS
As per the agreed procedure under the Protocol, MOFEP in consultation with the Government approved the projects and companies to execute the projects. Among the approved projects was that of “Irrigation Equipment (Solar Power Pumps)” to be implemented by Ministry of Food and Agriculture (MFA). The company selected was Incatema Indemar of Spain. This was communication to all beneficiary Ministries and MFA on 3rd and 21st March 2006 respectively (copies of letters already supplied by MFA).

Following the singing of the Protocol, MOFEP held series of meetings with representatives of the beneficiary ministries, including MFA. The meetings discussed the processes involved in the implementation of the Protocol and the expedition of the same. At the discussions the procedures of implementation were clearly spelt out, including in particular the contract award system to be adopted. Please see a copy of the minutes of one such meeting attached as Appendix 4.
The following provisions of the Protocol were emphasized for the attention of the beneficiary ministries:
Under Clause 1 of the Protocol, the projects to be developed had “to be agreed upon both Governments and to be carried, out by Spanish firms in the Republic of Ghana”
Under Clause 7 of the Protocol, “agreements on facilities relative to the FAD credits shall be signed on behalf of the Government of the Republic of Ghana by the Minister of Finance and Economic Planning or a duty authorized representative”
On the award of the projects under the Protocol, it was agreed under Clause 2 that GoG would sole-source the companies and undertake a Value for Money Audit before approval is finally given by the Spanish Authorities for the disbursement of funds.
The beneficiary ministries were informed that the sole-sourcing was at the discretion of Government, and in accordance with the Procurement Act, Act 613. To this end MOFEP had the exemption Gazetted as required by Law (Appendix 5).
MFA DEALINGS WITH ISOFOTON
After MOFEP informed the beneficiary ministries per our letter of 3rd March 2006 on the Spanish Companies selected by GoG to execute the projects, MFA wrote to MOFEP by letter dated 4th April 2006 (Appendix 6) informing MOFEP of its dealings with ISOFOTON, resulting in the execution of the Commercial Contract on 22nd September 2005. MOFEP responded on 17th 2006 (Appendix 7) to the effect that MFA’s action was contrary to GoG’s position and their action had to be reviewed as the Spanish Government had already been informed by GoG’s position on the selection of the Spanish companies.
Its instructive to note that MFA in its letter of 4th April 2006 admitted in paragraph 2 of the letter that the beneficiary ministries were only to assist to “identify” competent Spanish Companies to execute the projects and not to sign contracts with them. MFA’s contract with ISOFOTON could, therefore, not have been authorized or approved by MOFEP on behalf of GoG. In this regard, the Contract cannot be valid as far as the procedures and terms of the Protocol are concerned.
It should also be noted that MOFEP went further to notify the Spanish Authorities by its letter of 17th May 2006 (Appendix 8) to only accept Contracts/Agreements executed in accordance with clause 7 of the Protocol and upon the approval of MOFEP. In short, MOFEP did not select ISOFOTON to execute any project and MFA was not mandated by MOFEP to sign a contract with ISOFOTON on behalf of GoG.
ISOFOTON’S LEGAL THREAT
From the above information, its obvious that ISOFOTON has no case against GoG since GoG/MOFEP had not selected them to execute a project nor authorized MFA to sign a contract with them. ISOFOTON indeed recognized the necessary approval of MOFEP in these matters as clearly noted by MFA in their covering letter of 12th December 2005. (Appendix 9)
In any case, assuming (without admitting) that MFA’s Contract with ISOFOTON is valid, Article 26 of the Contract properly construed indicates that the Contract is only enforceable upon fulfillment of all the conditions precedent. Article 26 provides that “this Agreement shall enter into force when all the formalities set forth hereunder are fulfilled”. It then proceeds to list these formalities which includes:
“All approvals by the relevant Ghanaian authorities have been obtained”
“All approvals by the relevant Spanish authorities have been obtained”
From the foregoing, it’s obvious that these approvals have not been and will not be granted to ISOFOTON. On what basis can ISOFOTON there sue for breach of contract and claim damages?
We hope these comments will be useful in defending the case, should there be one at all by ISOFOTON.
(2) Minutes of meeting chaired by Barton Oduro to deliberate on the issue
The meeting started at 10 am with an introduction by the Deputy Attorney General after officials present had introduced themselves. A representative from the professional Group stated that they received a letter from the former Attorney-General in August 2010 to do a desk audit on the Isofoton Matters. He stated that there are 2 cases pending between the Ministries of Energy, Agric and Isofoton. He further stated that they tried to gather all the necessary information from the ministries involved but that was slightly difficult. They were unable to lay hands on two documents, after carefully studying and analyzing the various document gathered, they came to the conclusion that the cases were not actionable. There were too many flaws with the contracts. There was no basis for the issues raised by Isofoton.
The under listed are some issues considered by the group
*That the contract was supposed to be a turnkey project but the terms of the contracts were no turnkey.
*The currency in which the agreement was signed was very different from that of the Spanish protocol and the amounts were also different.
*The Ministry of Energy contract was for the provision of solar system in rural Ghana, but there was no definition of rural Ghana. There was also no technical specification and no locations but the transportation element was provided for.
*There was no offer, no acceptance to form the basis of a contract.
*The signatories on the contract were not the signatories recommended by the Spanish protocol. These and many more to the Group makes the contract flawed.
The premise on which the contract was based did not have any legs on which to stand. The representative further informed the meeting that they looked at the matter mainly from the commercial point of view. The Agreements do not fall on all force with the Spanish protocol making the Agreement void.
The representative from Ministry of Agric stated that Ministry of Agric made some specific request for the provision of some specific technical specifications but this was not adhered to nonetheless the contract was signed.
The Deputy Attorney General recommended that the representing officials be given copies of the professional Group’s Report, to study it and enable the meeting discuss the issues effectively at the next meeting and come up with the way forward. Meeting ended @ 11.40 am.
(3) Letter written by MFA to Attorney General
We refer to your letter No. 172/08 dated 13th May, 2011 on the above subject.
We have studied carefully the report of the professional group from which we can deduce that there were some grounds on which we could have mounted a defence to the suit.
The following issues, however, come to mind;
The matters raised by the professional Group such the date of contract and its non compliance with the procurement Law etc, would have been the basis for a defence against the suit.
The negotiations that we had with plaintiff were the result of his having obtained default judgement against us at the High Court.
Payment of the negotiated settlement has commenced. we seem therefore to be stopped by “estoppel by conduct”( see evidence decree)
In the circumstances, I doubt if we can successfully set aside the judgement and defend the suit.
